Summary: Knowledge as a resource in the interorganizational relationships is growing in the international and national literature. The current study aims to analyze the interorganizational knowledge sharing between Petrobras UN-ES and the NGOs and Petrobras UN-ES and the Universidade Federal do Espírito Santo (UFES). Interviews were conducted with representatives from involved people in a try to understand how the knowledge flow happens on these relations. There was not found any previous research with those actors. Being so, the current study is intended to contribute to interorganizational knowledge sharing research and also start the academic production at UFES on this regard. Based on Tonet and Paz (2004) study, the relationships were analyzed regarding the language adjustment, once this is one of the fundamental issues in order to facilitate the knowledge share. Cunha and Melo (2006) says the presence of a third person or organization contributes on the partnership trust. Also, they say trust act jointly with the improvement of the management systems, with the long range planning, with the coordination and control mechanisms and the development of the social network. The relationships were analyzed regarding mission, strategy and vision alignment; personal networks and relationships; and value creation (AUSTIN, 2000). The substantive knowledge (JANOWICZ-PANJAITAN and NOORDERHAVEN, 2008) was analyzed in order to identify or not creation/sharing of technology knowledge, management know-how and market knowledge. If there were one of these knowledge, it would be considered the presence of a rent in the relationship, which was defined by Dyer and Singh (1998) as a supernatural benefit jointly generated that only can be created by idiossincratic contributions of partners from specific alliances. One of the main result is the rent generation in the NGOs-Petrobras relationship and the fact thar UFES-Petrobras relationship, although aimed to innovate, there is not knowledge sharing beyond operational aspects.
